Terms of Service

1. Acceptance of Terms

By accessing or using Notelic ("the Service"), operated by CarbonVibe LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Notelic is a privacy-first note-taking application that provides semantic search, wiki-links, and related notes features. The Service is available as a web application.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials. You must be at least 13 years old to use Notelic.

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

4. Your Data

You own your data. All notes, attachments, and content you create belong to you. We do not claim any ownership or intellectual property rights over your content.

Your data is encrypted at rest using AES-256 encryption. Each user's data is stored in an isolated, encrypted database.

You can export your data at any time in standard formats. If you delete your account, your data will be permanently removed from our servers within 30 days.

5. Privacy

Your privacy is core to our product. We do not:

• Sell or share your data with third parties
• Use your content to train AI models
• Track your behavior with analytics or advertising tools
• Read, access, or analyze your notes

Most AI features (semantic search, related notes) use locally-hosted models running on our infrastructure. The Voice Brain Dump feature sends audio to OpenAI for transcription; OpenAI does not use this data for training. For full details, see our Privacy Policy.

6. Free and Paid Plans

Notelic offers a free tier with usage limits and paid plans with expanded features. Paid subscriptions are billed monthly or annually through Stripe.

• You can upgrade, downgrade, or cancel at any time
• Downgrades take effect at the end of your current period
• We do not delete your notes if you downgrade — you retain read access to all content
• Refunds are available within 14 days of purchase

7. Acceptable Use

You agree not to use Notelic to:

• Store or distribute illegal content
• Attempt to gain unauthorized access to other users' data
• Reverse engineer, decompile, or disassemble the Service
• Overload the Service with automated requests beyond API rate limits
• Resell access to the Service without permission

8. API Usage

Paid plans may include API access. API usage is subject to rate limits. We reserve the right to throttle or suspend API access that negatively impacts service performance.

9. Service Availability

We aim for high availability but do not guarantee 100% uptime. The Service is provided "as is" without warranty of any kind. We will make reasonable efforts to notify users of planned maintenance.

10. Limitation of Liability

To the maximum extent permitted by law, Notelic and CarbonVibe LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising from your use of the Service.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may delete your account at any time. We may suspend or terminate accounts that violate these terms. Upon termination:

• You may export your data before account deletion
• Active subscriptions will not be refunded for the current period
• Your data will be permanently deleted within 30 days

12. Changes to Terms

We may update these terms from time to time. Significant changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of the State of Colorado, United States. Any disputes will be resolved in the courts of Larimer County, Colorado.
